Our firm acts as Dutch counsel to CDP Equity SpA, a holding company within the Italian state owned Cassa Depositi e Prestiti Group, in relation to its acquisition of a c. 7.3% shareholding in Euronext NV. This transaction takes place in the context of Euronext NV acquiring Borsa Italiana Group from London Stock Exchange Group plc for a cash consideration of EUR 4.325 billion.
CDP Equity SpA will accede to the group of reference shareholders of Euronext NV (currently consisting of Euroclear, Caisse des Dépôts et Consignations, SFPI-FPIM, BNP Paribas Fortis and ABN AMRO Bank) and will acquire specific governance rights within Euronext NV.
Both deals were announced on 9 October 2020. Completion is expected to take place in the first half of 2021.
