Guus Kemperink specializes in mergers and acquisitions and joint-ventures, both in relation to private and listed companies, including hostile and contended takeovers. His practice includes corporate governance matters, where he advises on board governance structures and defence structures against hostile bids and activist shareholders. Moreover, he advises supervisory boards and defence foundations in the context of public takeover situations and hedge fund activism. Guus is appreciated for his diplomatic, though effective negotiating skills and for his talent for finding practical and realistic solutions in tense and critical situations with which private and listed companies may be faced.
Guus has worked on M&A transactions and corporate governance issues for Südzucker AG, SkyTeam, DCC plc, LyondellBasell Industries NV (supervisory board) , Pininfarina SpA, Fugro NV (defence foundation), Nutreco NV (supervisory board), TMG (supervisory board), Fiducial and PPG Industries, Inc.
He received in 1983 his master’s degree in Dutch law from University of Amsterdam. In 2013, he was a awarded a Ph.D. from Erasmus University Rotterdam for his thesis on the supervision of the target company by the supervisory board in the situation of both a friendly bid and a contested and hostile bid. In 2017, he served as member of the expert committee to the Minister of Economic Affairs of the Netherlands on the revision of Dutch public takeover legislation. Guus Kemperink publishes regularly in academic journals on corporate law, takeover law and corporate governance.

Sander Maarschalkerweerd is a recognized specialist in mergers and acquisitions and joint-ventures. Over the past years he has worked on a large number of national and cross-border transactions and restructuring cases. In addition, Sander has deep expertise and a strong track-record in corporate litigation, where he assists both private and listed companies in relation to shareholder and joint-venture disputes, shareholder buy-out procedures, post M&A disputes and corporate inquiries and investigations. In this context, Sander was involved in landmark cases before the Enterprise Chamber of the Amsterdam Court of Appeal (Ondernemingskamer), such as the recent takeover battle on Telegraaf Media Group, the rescue of Inter Access Group and the takeover dispute concerning ABN AMRO Bank.
Sander is a versatile lawyer who is able to bridge the gap between corporate transaction work and corporate dispute resolution. Clients appreciate his commitment, his ability to deliver under time pressure and his precise, practical and concise advice. Sander received his master’s degree in Dutch law from the University of Groningen in 2000, which also included a fall semester at the University of Wisconsin Law School (Madison, USA). He subsequently worked for an NGO in the Niger Delta (Port Harcourt, Nigeria), before being admitted to the Amsterdam Bar in 2001. Sander is a member of the Dutch Association for Corporate Litigation, the Dutch Association for Arbitration and the Dutch Association for Commercial Law.

Also, Rob worked in 2017 and 2018 as senior legal counsel at ABN AMRO Bank headquarters on M&A and corporate governance matters. This position allowed him to gain valuable and unique knowledge and expertise about the needs and challenges of large publicly listed corporates in today’s international legal world.
